3-D Chop Shop Software License Agreement

1. GRANT OF LICENSE
In consideration of the payment by you of the license fee we hereby grant to you a non-transferable, non-exclusive license to use the Software on a single computer. You may also make one copy of the Software for back-up purposes, provided that you reproduce any copyright notices on such copy.
You may not make or distribute copies of the Software or transfer it from one computer to another or use it over a network. You may not decompile, reverse engineer, or disassemble the Software other than as permitted by law.

2. INTELLECTUAL PROPERTY RIGHTS
All copyrights, trademarks, and other intellectual property rights in the Software shall remain vested in us or our licensors. You are permitted to use the Software only as expressly set out in this agreement.

3. WARRANTY
WE WARRANT THAT THE SOFTWARE WILL PERFORM SUBSTANTIALLY IN ACCORDANCE WITH ON-LINE DOCUMENTATION PROVIDED.
IN THE EVENT OF ANY FAILURE OF THE SOFTWARE TO PERFORM IN ACCORDANCE WITH THE WARRANTY, WE SHALL REPLACE SAID COPY OF THE SOFTWARE.
THE LIMITATIONS AND EXCLUSIONS OF WARRANTIES IN THIS SOFTWARE LICENSE DO NOT AFFECT YOUR STATUTORY RIGHTS AS A CONSUMER.

4. REMEDIES AND EXCLUSIONS
OUR ENTIRE LIABILITY AND YOUR EXCLUSIVE REMEDY UNDER THIS SOFTWARE LICENSE SHALL BE, AT OUR OPTION, EITHER THE REPLACEMENT OF THE SOFTWARE OR A REFUND OF THE LICENSE FEE PAID.
WE WILL NOT BE LIABLE IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR FOR BREACH OF STATUTORY DUTY OR ANY OTHER WAY FOR:
A) ANY ECONOMIC LOSSES (INCLUDING WITHOUT LIMITATION LOSS OF REVENUES, PROFITS, CONTRACTS, BUSINESS OR ANTICIPATED SAVINGS)
B) ANY LOSS OF GOODWILL OR REPUTATION
C) ANY SPECIAL OR INDIRECT CONSEQUENTIAL LOSSES
D) ANY DEATH OR PERSONAL INJURY RESULTING FROM NEGLIGENCE.

5. SECURITY
For the purposes of preventing piracy and other rights abuses in the Software, we shall retain records of your online purchase information and, if necessary, in the event of piracy or other rights abuse, we may match your online purchase information to the unique serial number assigned to you to enable the Software in order to pursue whatever sanctions and remedies may be available to us.

6. GENERAL
Each provision of this Software License shall be construed as separately applying and surviving even if for any reason one or other of these provisions is held to be inapplicable or unenforceable in any circumstances.
No waiver by us shall be construed as a waiver of any proceeding or succeeding breach of any provision.
You agree that you will not export or re-export the Software or any part thereof to any country, person or entity subject to U.S. export restrictions.

7. ENTIRE AGREEMENT
This Software License and any accompanying on-line documentation constitutes the entire agreement between us in relation to the Software. You confirm that, in agreeing to accept the Software License, you have not relied on any representation save insofar as the same has expressly been made a representation in this Software License. You agree that you will have no remedy in respect of any misrepresentation which has not become a term of this Software License, save that your agreement shall not apply in respect of any fraudulent or negligent misrepresentation, whether or not such has become a term of this Software License.

8. LAW
This Software License shall be governed by English law and you submit to the non-exclusive jurisdiction of the English Courts.

9. PRODUCTS REPRESENTED
YOU AGREE THAT ALL PRODUCTS IN THIS SOFTWARE APPLICATION, INCLUDING BUT NOT LIMITED TO MOTORCYCLES, PARTS, AND ACCESSORIES, ARE PRESENTED ONLY AS SUGGESTIONS. 3-D CHOP SHOP IS NOT ENDORSED BY ANY OTHER COMPANY. ALL PRICES IN THIS SOFTWARE ARE NOTHING MORE THAN SUGGESTIONS AND SHOULD BE VERIFIED BY LICENSED DEALERS AND/OR VENDORS. WE ARE NOT RESPONSIBLE FOR ANY MECHANICAL LABOR, LABOR PROBLEMS, OR PROBLEMS ASSOCIATED WITH SUGGESTIONS MADE BY ITS SOFTWARE. WE ARE ALSO NOT RESPONSIBLE FOR ANY PARTS THAT MAY NOT FIT WITH BIKE MODELS OR FOR THE ACCURACY OF ITS RECOMMENDATIONS. ANY CUSTOMIZATION OF A MOTORCYCLE SHOULD BE BROUGHT TO A LICENSED DEALER FOR VERIFICATION OF ITS FEASIBILITY AND FOR ACCURATE PRICING. CHOP SHOP IS NOT A LICENSED DEALER OR VENDOR OF PARTS, MOTORCYCLES, OR ACCESSORIES.

11. AFFILIATION

3-D CHOP SHOP IS NOT ENDORSED BY OR AFFILIATED WITH ANY COMPANY. THIS SOFTWARE PRODUCT OFFERS NOTHING MORE THAN VISUAL REPRESENTATIONS OF HOW MOTORCYCLES AND THEIR PARTS LOOK IN VARIOUS COMBINATIONS. 3-D CHOP SHOP'S PRODUCTS ARE IN NO WAY ENDORSED, SPONSORED, OR PROVIDED BY THE HARLEY-DAVIDSON MOTOR COMPANY. WORDS MARKED WITH A REGISTERED TRADEMARK SYMBOL ("R") ARE REGISTERED TRADEMARKS OF THE HARLEY-DAVIDSON MOTOR COMPANY.
